BUS 59502 - Business Law And Ethics


Business Law and Ethics examines a wide range of common law, statutory, and regulatory concepts that play key roles in well-reasoned business decision-making. This course intersects two related fields: the law related to business and commercial activities; and, business ethics. Topics to be emphasized include the following: the American legal system; contract formation and performance; the UCC and Sales of Goods law; business entities, from the proprietorship through the limited liability company (LLC); the role and duties of boards of directors; Alternative Dispute Resolution (ADR), including key aspects of negotiation, mediation, and arbitration; agency law; intellectual property; employment discrimination and harassment law; business ethics frameworks and the application of ethics in personal and corporate decision-making.

Student Learning Outcomes
1.  Categorize the major Alternate Dispute Resolution mechanisms.
2.  Identify and use negotiation techniques and types of leverage.
3.  Categorize the key parts of an arbitration clause.
4.  Compare and contrast commonly accepted business ethics frameworks.
5.  Apply business ethics philosophy through applying ethics frameworks and ethical duties in real-world scenarios and case studies.
6.  Demonstrate how one acquires and protects intellectual property, including trade secrets.
7.  Identify and apply the common law doctrines of contract formation.
8.  Distinguish between contracts that are voidable and contracts that are unenforceable.
9.  Prioritize the remedies available for breach of contract.
10.  Draft a contract that incorporates the best practices of contract law.
11.  Contrast common law contracts with the Uniform Commercial Code’s Sales of Goods law.
12.  Prioritize the remedies available for breach of a sales of goods contracts.
13.  Categorize the agency relationship, including demonstrating understanding of the doctrine of Respondeat Superior (the scope of employment).
14.  Categorize the primary forms of business entities, and their advantages.
15.  Demonstrate understanding of the business judgment rule.
16.  Demonstrate understanding of the various theories of insider trading.
17.  Demonstrate understanding of law that protects certain classes of persons from employment discrimination and harassment.
